Terms of service
Last updated: May 29, 2026
These Terms summarize the relationship between Littles Fulfillment, LLC and the brands and visitors who use our site and services. For partner brands, the signed master services agreement governs where it differs from this summary.
1. Overview and acceptance
These Terms govern your use of the Littles Fulfillment website and services. Fulfillment services are also governed by the master services agreement (“MSA”) signed by each partner brand; where these Terms and a signed MSA conflict, the MSA controls. By using the site or our services, you agree to these Terms.
2. The service
Littles Fulfillment, LLC provides third-party logistics (3PL) services — receiving inbound inventory, storing it, and picking, packing, and shipping orders — together with the related reporting and support described on our site. Services are provided on the terms set out in the MSA following any agreed trial period.
3. Order cut-off and turnaround
Orders received before our cut-off (currently 2:00pm CT on business days) are picked the same business day; orders after the cut-off are handled the next business day. Cut-off times and turnaround targets may change with notice, and may be affected by carrier delays, weather, and events outside our control.
4. Pricing and billing
Our fees are described at /pricing and detailed in your MSA. We bill on a weekly cycle: activity from Monday through Sunday is rolled up into a single invoice with transparent, itemized line items (order handling, picks, packaging, shipping, receiving, storage, and any kitting). Invoices are issued in US dollars and are due on receipt, payable by ACH or wire transfer using the remittance details on the invoice. We do not process credit cards. We do not calculate or collect sales tax on your behalf; you are responsible for your own tax obligations. Late or unpaid balances may result in suspension of services after notice.
5. Inventory, title, and risk of loss
Title to inventory remains with the partner brand at all times; we never take ownership of your goods. While inventory is in our facility, we maintain commercially reasonable insurance up to industry-standard limits. Partners are responsible for declared values above that cap and are encouraged to carry their own coverage for high-value goods. You are responsible for the accuracy of the inbound shipments and product data you provide.
6. Prohibited and restricted items
You may not send us items that are illegal to store or ship, hazardous, perishable beyond our stated capabilities, or otherwise outside the scope agreed in your MSA. We may refuse or return inventory that violates these Terms or applicable carrier and legal requirements.
7. Returns
Returns are processed within five (5) business days of arrival at our facility, with per-item condition assessment documented in your portal. Disposition (restock, hold, or dispose) follows the rules configured for your account.
8. Your responsibilities and acceptable use
You are responsible for the accuracy of your account, order, and product information, for maintaining the security of your portal credentials, and for using the site and services lawfully. You agree not to interfere with or attempt to gain unauthorized access to our systems.
9. Term and termination
Either party may terminate as set out in the MSA — absent a different term, on thirty (30) days’ written notice. On termination, you may arrange transfer-out of remaining inventory at your expense; we will cooperate reasonably with an orderly wind-down. Fees accrued through termination remain payable.
10. Warranties and limitation of liability
We provide the services with reasonable care and skill. To the maximum extent permitted by law, the site and services are otherwise provided “as is,” and our aggregate liability arising out of the services is capped at the fees you paid us in the trailing twelve (12) months. We are not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited by law.
11. Governing law
These Terms are governed by the laws of the state in which our warehouse operates, without regard to conflict-of-laws rules, and the parties submit to the courts located there for any disputes.
12. Changes
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date below and, where appropriate, communicated to partner brands directly.
